Chinese Theatres LLC “Magical Journey To Middle-earth CHINESE THEATRES Sweepstakes” Sweepstakes Terms and Conditions Official Rules 1. “Magical Journey To Middle-earth CHINESE THEATRES Sweepstakes” (the “Promotion”) is sponsored by Chinese Theatres LLC (“the Sponsor”). NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. Odds of winning will depend on the total number of entries received. Void where prohibited by law. 2. ELIGIBILITY: The promotion is open to natural persons who are: (i) a legal resident of the 48 contiguous United States, excluding Rhode Island, New York and Florida; (ii) twenty-one (21) years of age or older as of the date of entry and has internet access and a current email account; (iii) not an employee of Chinese Theatres LLC or any of their parents, affiliates, subsidiaries, or any advertising and promotion agencies associated with Chinese Theatres LLC; or (iv) not an immediate family member or any other person living in the same household of such an individual in (iii) above. The Promotion may only be entered in or from the United States. Entries originating from any other jurisdiction will be disqualified. 3. HOW TO ENTER: Promotion begins on December 12, 2012 on or about 11:59 p.m. Pacific Standard Time (“PST”) and ends on January 6, 2013, on or about 11:59 p.m. PST (the “Promotion Period”). There are three (3) separate ways to enter the Promotion during the Promotion Period: (i) You will receive one (1) automatic entry into the Promotion for each ticket you buy on http://www.movietickets.com/ to see The Hobbit: An Unexpected Journey at the Chinese Theatre located at 6925 Hollywood Blvd., Hollywood, CA 90028 or the Chinese 6 Theatres located at 6801 Hollywood Blvd., Hollywood, CA 90028 (“Qualifying Theatres”). (ii) Online Entry: Go to the Promotion registration page located at https://www.facebook.com/ChineseTheatres (the “Web Site”). The Web Site will contain a description of the Promotion and the official entry form. Complete the entry form with entrant’s first and last name, e-mail address, country, zip code and/or date of birth, as required, and click on the “Submit” button. Entrant must complete the entry form with all required information for the entry to be eligible. (iii) In Person: Print your name, complete address, day and evening telephone numbers (including area code), e-mail address, and a date of birth on a piece of paper and submit it by hand at the box office(s) of the Qualifying Theatres. With regard to online entries, in the event of a dispute about the identity of an entrant, each entry will be declared made by the registered account holder of the e-mail address submitted at time of entry, as long as that person meets all other eligibility requirements in these “Official Rules.” The registered account holder is deemed to be the natural person who is assigned the submitted e-mail address by the relevant Internet service provider, online access provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. With respect to any winning entry, the winner may be required to provide Sponsor with proof that the person is the registered account holder of the e-mail address associated with the winning entry. No third party entry or entry through a sweepstakes service is permitted. Only eligible entries actually received in compliance with the Promotion Period, will be included in the drawing for prizes. For purposes of these Official Rules, "receipt" of an online entry occurs when Sponsor’s servers record the entry information upon entrant’s clicking on the “Submit” button or when the Sponsor receives the entrant’s entry form at the address above. Any automated computer receipt (such as a "thank you" message or one confirming delivery of entry) does not constitute proof of actual receipt by Sponsor of an entry for purposes of these Official Rules. No automatic, programmed, robotic or similar means of entry are permitted and Sponsor reserves the right to disqualify any individual using such a method. All entries become the sole and exclusive property of Sponsor and will not be acknowledged or returned. Sponsor is not responsible for postage-due or lost, late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind, whether mechanical, human or electronic. Failure to comply with these Official Rules may result in disqualification from the Promotion. The Web Site's database clock with be the official time keeper for this Promotion. 4. PRIZE: One (1) grand prize (“Grand Prize”) winner will receive from Air New Zealand Limited: ? Roundtrip Economy Class Air transportation for two (2) from Los Angeles or San Francisco, CA to Auckland, Wellington and Queenstown, New Zealand on Air New Zealand; ? 1 night accommodation in Auckland at Mercure Auckland Hotel – one (1) room (Twin/Double/King); ? 2 nights accommodation in Wellington at Mercure Wellington Hotel – one (1) room (Twin/Double/King); ? 2 nights accommodations in Queenstown at Mercure Queenstown Hotel – one (1) room (Twin/Double/King). The Approximate Retail Value (“ARV”) of the Grand Prize is USD$8,390. 5. Any difference between the ARV and the actual retail value of the Grand Prize will not be awarded to the winner. The odds of winning depend on the total number of eligible entries received. The Grand Prize must be accepted as awarded and entrants hereby acknowledge that Sponsor has neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Grand Prize, including, without limitation, to the Grand Prize’s quality, merchantability or fitness for a particular purpose or express warranties (if any) provided exclusively by the Grand Prize supplier that are sent along with the Grand Prize. The Grand Prize is not transferable or redeemable for cash or exchanged for any other goods. The stated ARV of the Prize is based on available information provided to Sponsor and the value of the Prize awarded to a winner may be reported for tax purposes as required by law. No substitution allowed except, at Sponsor’s sole discretion, a prize of equal or greater value may be substituted. The winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prize they receive. Unclaimed prizes will be forfeited. 6. The Grand Prize winner (and his/her “Guest”) are responsible for paying all additional costs associated with the Grand Prize that are not specifically included (as stated in these terms and conditions), including (where applicable) transport to and from the respective airports, and any other transport (other than the flights awarded as part of the Grand Prize), accommodation (other than the accommodation awarded as part of the Grand Prize), meal costs, spending money, insurance, passports, visas and all other incidentals. 7. Grand Prize air travel for the winner and Guest must be booked at one (1) time through Air New Zealand Limited, within ten (10) days of accepting the prize. Grand Prize accommodations at all locations will consist of one (1) room (Twin/Double/King). All bookings for Grand Prize accommodations will be made on request basis and subject to availability in all instances. Valid for travel April 1, 2013 - September 30, 2013. If the winner is unable to travel within dates indicated, the prize will be forfeited. 8. All air travel included in the Grand Prize will be provided by Air New Zealand, Prizes, reservations, and airline tickets are non-refundable, non-transferable, non-changeable once issued, and may not be used in conjunction with any other competition or offer. If lost, they will not be replaced. Credit for previous purchases is not permitted. All tickets are subject to the vagaries of flight variation, work stoppages, and schedule or route changes and seat availability. In addition, winner and guest(s) are responsible for any federal, state, and local tax consequences and for compliance with all governmental reporting and payment requirements. Unless otherwise expressly included in the specified prize, the following are not included: ? Upgrades. ? Accrual of Airpoints Dollars TM or other Mileage redemption. ? Alcoholic beverages and meals. ? Headsets (on flights with in-flight audio and/or video programs). ? Merchandise or souvenirs. ? In-flight-air-to-ground telephone calls. ? Transportation to and from the airport 9. SELECTION OF WINNER: A winner will be selected in a random drawing on or about January 8, 2013 from among all eligible entries by Sponsor or a representative selected by Sponsor, whose decisions are final in all matters relating to this Promotion. Eligible entries are those in which all required fields have been completed correctly and otherwise comply with these Official Rules. Sponsor reserves the right to disqualify any participant or winner and may refuse to award any prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Promotion, or obtained winner status using fraudulent means. 10. WINNER NOTIFICATION: The potential winner will be notified via email, within approximately five (5) business days after the potential winner is randomly selected. “Notification” is deemed to have occurred immediately upon sending of an e-mail. In order for a potential winner to claim their prize, the potential winner must respond within ten (10) business days of Notification and may be required to sign and return an Affidavit of Eligibility and Liability Release and a Publicity Release (where legal), and any other additional documents required by Sponsor (the “Required Documents”) within ten (10) days of date of Notification. Failure to comply within this time period, or if prize notification or prize is returned as non-deliverable or not returned properly executed, or if winner is found to be ineligible, or not in compliance with these Official Rules, will result in the potential winner forfeiting the prize and being disqualified and an alternate potential winner being selected from among remaining eligible entries. 11. GENERAL: All federal, state, provincial and local laws and regulations apply. Void where prohibited by law. By entering the Promotion, participants agree to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Entrants who do not comply with these Official Rules, or attempt to interfere with the Promotion in any way, shall be disqualified. Entrants and prize winners agree to release, defend, indemnify and hold harmless Sponsor, and its respective officers, employees, directors, parent and related companies, affiliates, subsidiaries, participating theatres, agencies and any other companies participating in the design, administration or fulfillment of the Promotion (collectively, “Released Parties”) from liability of any kind or nature for any injuries, damages or losses of any kind or any other costs or expenses resulting from participation in this Promotion, or acceptance, possession or use, misuse or awarding of a prize or parts thereof, including, without limitation, any injury, damage death, loss or accident to person or property. Acceptance of a prize constitutes permission (except where prohibited by law or regulation) to use winner’s name, likeness, biographical data and statements for advertising and publicity purposes without notice or additional compensation. The Released Parties are not responsible for any printing, typographical, mechanical, human or other errors in these Official Rules, in the administration of the Promotion, in the announcement of the prize winners, and/or in any advertising or other associated promotional materials in connection with the Promotion. Further, the Released Parties are not responsible for technical, hardware, software, electronic, network, telephone or other communications malfunctions, errors or failures of any kind, errors in transmission, lost or unavailable network connections, telephone connections, dropped dial-up internet connections, interrupted broadband, cable, or wireless internet connections, cell phone dropped calls, unauthorized human intervention, traffic congestions, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed transmissions which may limit or restrict an entrant’s ability to enter the Promotion, including any injury or damage to participant’s or any other person’s phone or other electronic computing or telephone equipment, or other matter relating to or resulting from participation in this Promotion. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Promotion should any virus, bugs, non-authorized human intervention, fraud or other causes beyond its reasonable control corrupt or affect the administration, security, fairness or proper conduct of the Promotion and no compensation will be payable. ANY PERSON ATTEMPTING TO DEFRAUD SPONSOR OR IN ANY WAY TAMPER WITH, DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION WILL BE DISQUALIFIED AND MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PROSECUTION. All personal information collected will be treated in a manner consistent with Sponsor’s privacy policy, which is located at http://www.chinesetheatres.com/privacy-statement/. 12. GOVERNING LAW / DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants’, Sponsor or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in Los Angeles County, California in any action to enforce (or otherwise relating to) these Official Rules or relating to this Promotion. BY ENTERING THE PROMOTION, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 13. MISCELLANEOUS: The names of individuals, groups, companies, products and services mentioned herein, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The invalidity or unenforceability of any provision of these Official Rules or the Required Documents will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Required Documents is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. For entrants, to the extent there is a conflict between these Official Rules and any terms of use or other agreement posted on the Web Site, these Official Rules control.
